1. Acceptance of Terms
Welcome to Paintboard. By accessing or using our collaborative whiteboard service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Description of Service
Paintboard is a web-based collaborative whiteboard application that allows users to:
- Create and edit digital canvases with drawing tools
- Collaborate in real-time with other users
- Share canvases via links
- Store and manage canvas content
- Access the Service through supported web browsers
3. User Accounts
3.1 Account Creation
- You must be at least 13 years old to create an account
- You must provide accurate and complete information
- You are responsible for maintaining the security of your account credentials
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized access
3.2 Account Types
We offer free and premium account tiers with different features and limits. Account limits include:
- Free Accounts: 2 canvases, up to 6 collaborators per canvas
- Premium Accounts: Unlimited canvases and collaborators
- Maximum canvas data size: 10 MB (may vary by tier)
- Maximum elements per canvas: 20,000 (may vary by tier)
3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct. You may delete your account at any time from your account settings.
4. Acceptable Use Policy
4.1 Permitted Use
You may use Paintboard for:
- Personal creative projects
- Educational purposes
- Business collaboration and planning
- Team brainstorming and ideation
- Any lawful purpose that complies with these Terms
4.2 Prohibited Conduct
You agree NOT to:
- Violate any laws or regulations
- Infringe on intellectual property rights of others
- Upload malicious code, viruses, or harmful content
- Harass, threaten, or abuse other users
- Share content that is illegal, hateful, violent, or pornographic
- Spam, phish, or engage in fraudulent activities
- Attempt to reverse engineer or hack the Service
- Bypass rate limits or security measures
- Scrape or automatically collect data from the Service
- Impersonate others or create fake accounts
- Use the Service for cryptocurrency mining
- Resell or redistribute the Service without authorization
5. Content Ownership and License
5.1 Your Content
You retain all ownership rights to the content you create on Paintboard ("Your Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to:
- Store and display Your Content on our servers
- Transmit Your Content to collaborators you authorize
- Make backup copies for disaster recovery
- Process and cache Your Content for performance optimization
This license terminates when you delete Your Content or your account.
5.2 Our Content
The Paintboard application, including its design, code, trademarks, and documentation, is owned by us and protected by copyright and other intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.
5.3 User Responsibility
You are solely responsible for Your Content. You represent and warrant that:
- You own or have the right to use all content you upload
- Your Content does not violate any third-party rights
- Your Content complies with these Terms and applicable laws
6. Privacy and Data
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our privacy practices.
7. Canvas Sharing and Collaboration
- Share Links: Anyone with a share link can access the canvas. Protect links appropriately.
- Collaborator Actions: You are responsible for the actions of users you invite to collaborate.
- Real-time Sync: Changes made by collaborators are synced in real-time and cannot be undone by other users.
- Public Sharing: Treat shared canvases as potentially public. Do not share sensitive information.
8. Service Availability and Modifications
8.1 Service Availability
We strive to provide reliable service but do not guarantee 100% uptime. The Service may be unavailable due to:
- Scheduled maintenance
- Emergency repairs
- Technical issues beyond our control
- Force majeure events
8.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will make reasonable efforts to notify users of significant changes.
9. Fees and Payment
9.1 Free Tier
Basic features are available free of charge, subject to usage limits (2 canvases, 6 collaborators per canvas).
9.2 Premium Subscriptions
Premium features require a paid subscription. By subscribing, you agree to:
- Pay the fees displayed at the time of purchase
- Automatic renewal unless cancelled
- Fees are non-refundable except as required by law
- We may change pricing with 30 days notice
9.3 Payment Processing
Payments are processed securely through Stripe. We do not store your credit card information.
9.4 Cancellation
You may cancel your subscription at any time. Access to premium features continues until the end of the current billing period. No refunds are provided for partial billing periods.
10. Disclaimers and Limitations of Liability
10.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Guarantee
We do not guarantee that:
- The Service will be uninterrupted, secure, or error-free
- Data will not be lost or corrupted
- Results will meet your expectations
- Defects will be corrected
10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Paintboard, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any third-party rights
12. Third-Party Services
The Service integrates with third-party authentication providers (Google, Microsoft, GitHub) and payment processing (Stripe). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
13. Export Controls
You agree to comply with all applicable export and import laws. You may not use or export the Service in violation of U.S. export laws or regulations.
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to conflict of law principles.
14.2 Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except where prohibited by law. Arbitration shall take place in Oregon.
14.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.
14.4 Exceptions
Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights.
15. Miscellaneous
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Paintboard regarding the Service.
15.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
15.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign these Terms. We may assign our rights and obligations without restriction.
15.5 Survival
Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) shall survive.
